LEGAL
Client services agreement.
Version 1.1-draft · 25 October 2026
Draft for review. This agreement is not final and is not yet in effect. Bracketed items need the owner’s decision and professional legal review. Kevara AI is not taking live payments.
This Client Services Agreement (“Agreement”) is entered into between KEVARA LLC, an Indiana limited liability company, Indiana Secretary of State record 202508061915034, trading as Kevara AI (“Provider” or “Kevara”), and the business or individual purchasing services (“Client”).
By signing this Agreement or affirmatively accepting it during checkout, the Client agrees to these terms, the Fair Use Policy and the Data Processing Agreement, and acknowledges the Privacy Policy.
1. Services provided
Kevara AI provides business automation, AI receptionists, AI chatbots, customer relationship management integrations, lead management, marketing automation and related technical services. The specific services depend on the Client’s selected package and any separately agreed statement of work.
2. Packages, order form and pricing
The Client’s package, one-time setup fee, recurring monthly subscription price and any agreed extras are stated on the Client’s accepted order form, proposal or Stripe checkout page (the “Order Form”). The Order Form forms part of this Agreement. Standard prices are provided to the Client privately and are not published on this website.
All prices are in US dollars and exclude applicable taxes [sales-tax treatment to be confirmed with an accountant]. The setup fee is a one-time charge for the agreed initial configuration and implementation. Monthly fees cover the recurring services, maintenance and the allowances in section 4. Additional customised work requires a separate written quotation and approval.
3. Billing and subscriptions
- Payments are collected through Stripe. Kevara does not see or store full card numbers.
- Recurring payments require the Client’s express authorisation at checkout.
- The first billing date and the renewal date are shown at checkout; the subscription renews monthly until cancelled.
- Stripe issues an invoice or receipt for each payment.
- The Client can update the payment method, see invoices and cancel through the Stripe billing portal (kevarallc.com/billing).
- If a payment fails, Stripe retries it and Kevara notifies the Client. Services may be restricted after an unresolved payment failure, only after a grace period of at least 10 days from the first failed payment, which Kevara notifies to the Client’s billing email, and subject to applicable law.
4. Included monthly allowances
| Allowance | Starter | Growth | Premium |
|---|---|---|---|
| AI voice minutes | Not included | 300 | 1,000 |
| SMS messages | Not included | 250 | 1,000 |
| Chatbot conversations | 200 | 1,000 | 3,000 |
| Workflow executions | 500 | 2,500 | 7,500 |
| CRM integrations | 1 | 2 | 4 |
Allowances apply per billing cycle (from the subscription renewal date), renew each cycle and do not roll over unless agreed in writing. How each unit is measured is set out in the Fair Use Policy.
5. Additional usage and overages
Overage rates are provisional and are not billable until Kevara has validated its operating costs, finalised the rates and obtained the Client’s express written authorisation. Any rates will be disclosed to the Client in the Order Form or a separate rate schedule before they apply.
- The Client must affirmatively authorise overage billing; no additional usage is charged without prior authorisation.
- The default maximum overage charge is $50 per billing cycle unless the Client authorises a different limit in writing.
- Usage notifications are sent at 80%, 100% and 150% of each included allowance.
- At 150% of an allowance, or when the authorised spending cap is reached, whichever occurs first, further chargeable usage is suspended unless the Client authorises a higher limit.
Until overage billing is activated, Kevara will not charge for excess usage; additional consumption may be restricted under the Fair Use Policy.
6. Cancellation by the Client
- The Client may cancel through the Stripe billing portal or by emailing t.thomas@kevarallc.com.
- Cancellation stops future renewals; unless otherwise agreed, service continues until the end of the current paid billing period.
- No renewal is charged after a valid cancellation takes effect. Authorised charges incurred before cancellation remain payable.
- No cancellation penalty applies to the standard monthly packages. Any minimum commitment must be disclosed and agreed before purchase.
7. Refunds
- Before implementation begins, the Client may cancel and request a refund of an unused setup payment.
- After implementation begins, any refund of setup fees will reflect documented work performed and costs incurred, subject to applicable law.
- Monthly fees are generally not prorated after a voluntary mid-cycle cancellation unless agreed or required by law.
- Duplicate or erroneous charges will be corrected. Nothing in this Agreement limits non-waivable statutory rights.
- Refunds are issued only by the owner of Kevara AI; automated systems cannot issue refunds.
- How to request a refund: email t.thomas@kevarallc.com from the registered contact or billing email, stating the invoice or receipt and the reason. Kevara acknowledges the request within 3 business days and gives a written decision, with a summary of any work performed and costs incurred where a setup fee is only partly refunded.
- Approved refunds are returned through Stripe to the original payment method. Card issuers normally take 5–10 business days to show the credit.
- Raising a card dispute does not prevent a refund request; Kevara will respond to any dispute with the records described in section 20.
8. Suspension and termination by Kevara
- Kevara may suspend services, after notice where practical, if: payment remains unresolved after the notice period in section 3; the services are used unlawfully or in breach of the Fair Use Policy; or suspension is needed to prevent harm to people, systems or other clients.
- Kevara may terminate this Agreement for material breach not cured within 14 days of written notice, or on 30 days’ written notice for convenience, in which case Kevara refunds, pro rata, any prepaid recurring service fees for the period after termination.
- On termination for any reason, sections 7 (refunds), 9 (data access and offboarding), 14 (confidentiality and data protection), 15 (intellectual property), 16 (liability), 18 (governing law) and 19 (general) continue to apply, together with payment obligations for authorised charges incurred before termination.
9. Client data access, export and offboarding
- The Client may request an export of its business data (configuration, knowledge base, leads, conversations, tickets, appointment requests and workflow records) from its registered contact or billing email at any time during the subscription and for 30 days after it ends.
- Kevara provides the export as a downloadable file through a secure link valid for 7 days, within 10 business days of a verified request.
- At offboarding Kevara disables the Client’s chatbot and workflows, revokes its API keys and outbound authorisations, and lists any integrations the Client should disconnect in its own accounts.
- Phone numbers: numbers provisioned by Kevara remain Kevara’s account resources. At offboarding the Client may ask Kevara to port a number to the Client’s own carrier account (the Client pays any carrier fees), Eligible numbers are transferable to the Client when technically and contractually permitted (for example, by the carrier and the number’s registration). A number that is not transferred stays with Kevara, which may retain or release it.
- Client data is retained and deleted according to the Data Processing Agreement. Kevara does not delete data automatically before the approved retention period.
10. Communications to the Client’s customers
- Kevara will not send outbound email, SMS or calls to the Client’s customers or leads until: (a) the Client has authorised that channel in writing; (b) the sender identity is set up and verified (for example, domain authentication for email and A2P 10DLC or toll-free verification for SMS); and (c) the Client has confirmed the required consent exists for the recipients.
- The Client is responsible for the lawfulness of its marketing, the consent of its recipients (including under the TCPA and CAN-SPAM) and for honouring opt-outs, which Kevara’s systems record and apply.
- Inbound AI conversations (chatbot and AI receptionist) answer the Client’s customers automatically. AI-generated replies are not individually reviewed by a person before they are sent; they are limited to the Client’s approved knowledge base and escalate to the Client on request or complaint.
- AI calls may be recorded and transcribed; callers hear a recording notice at the start of the call.
11. Implementation and service delivery
Kevara will make commercially reasonable efforts to deliver the services in the agreed scope. The Client will provide necessary information, permissions and access. Timelines depend on complexity, third-party approvals and Client cooperation. Material scope changes are documented and approved before additional charges are incurred.
12. AI technology and limitations
Kevara uses automated systems and third-party AI providers. AI systems can produce errors, misunderstand requests or be interrupted. Kevara does not guarantee specific revenue, sales, advertising results, lead volumes or uninterrupted availability. Kevara applies reasonable monitoring, testing and error-handling procedures consistent with the purchased service.
13. Client responsibilities
- Providing accurate business information and approved knowledge-base content.
- Maintaining authorisation to access connected accounts.
- Ensuring its marketing complies with applicable law.
- Providing legally required notices and obtaining consent for communications, recording and data processing.
- Reviewing and approving any advertising expenditure.
- Not using the services for unlawful or deceptive activity, or as described in the Fair Use Policy.
14. Confidentiality and data protection
Each party protects confidential information received from the other. Kevara processes the Client’s customer data only to provide the services, under the Data Processing Agreement and the Privacy Policy. Access is limited to authorised systems, personnel and service providers, and each client’s data is kept separate from other clients’ data.
15. Intellectual property
Each party keeps its pre-existing materials and intellectual property. Ownership of custom deliverables is defined in the applicable statement of work. Unless agreed otherwise, Kevara keeps its reusable automation templates, agent frameworks and internal tools; the Client keeps its business data and materials.
16. Liability
Neither party is responsible for delays caused by events reasonably outside its control. [Limitation of liability, exclusion of indirect damages, any service levels or credits, and indemnities, to be drafted after legal review. No limitation applies until approved.]
17. Changes to services and prices
- Kevara gives at least 30 days’ written notice before any change to the Client’s recurring price or a material reduction in the services.
- Where the law requires consent, the change applies only after the Client accepts it; otherwise the Client may cancel before it takes effect without penalty.
- Updated versions of this Agreement are published with a new version number. Kevara records which version each Client accepted.
18. Governing law and disputes
[Governing law, venue, dispute-resolution process and legally required notices, to be completed after legal review (Kevara is an Indiana LLC; whether Indiana law and venue apply is a decision for that review).]
19. General
- Order of precedence: if documents conflict, the Order Form prevails over this Agreement for the package, prices and any specifically agreed terms; this Agreement prevails over the Fair Use Policy; the Data Processing Agreement prevails on the processing of personal data.
- Entire agreement: the Order Form, this Agreement and the documents it refers to are the whole agreement between the parties about the services [confirm wording after legal review].
- Notices: notices to Kevara go to t.thomas@kevarallc.com; notices to the Client go to its registered contact or billing email. Kevara’s postal address for notices: Kevara AI, 3250 W 86th St, Indianapolis, IN 46268, United States.
- Electronic acceptance: the parties agree that accepting this Agreement electronically (including the checkbox at Stripe checkout) and electronic records of that acceptance have the same effect as a signature.
- Assignment: neither party may assign this Agreement without the other’s written consent, except [exceptions, for example on a sale or reorganisation of the business, after legal review].
- Relationship: the parties are independent contractors. Nothing in this Agreement creates a partnership, employment or agency relationship.
- Severability and waiver: if any provision is found unenforceable, the rest continues in effect. A failure to enforce a provision is not a waiver of it.
20. Acceptance
By signing or affirmatively accepting this Agreement, the Client confirms it has reviewed the Order Form (package, setup fee and recurring subscription), the cancellation terms and any separately authorised usage charges.
When the Client accepts at Stripe checkout, Kevara records the agreement version, the date and time of acceptance, the checkout session, the subscription or payment reference and the billing email. A copy of these records is available on request.
